It is probably best to upgrade to the "Full" version (not the "Upgrade" edition).

There is an XP home edition and an XP professional edition. One can buy them as a full version or as an upgrade version. The difference between the full version and the upgrade is only that you need a copy of 98/ME/2000 in order for the upgrade to run, while the full version does without. You can definitely do a clean install with the upgrade version, all you need is your old 98/ME/2000 CD. The upgrade-install will ask for it and check the CD, afterwards it will behave exactly like the full version.
